Overview

Who is responsible when the partnership changes?

A bank or regulated customer will often ask for oversight rights, data restrictions, and detailed exit terms. Those provisions affect your operations, not just the contract. CounselX helps negotiate the commercial responsibilities and prepare the documents partners need to review. Banking licenses and product-specific regulatory advice require separate specialist counsel.

Questions

Common questions

Can you help negotiate a bank–fintech partnership?

Yes, on commercial terms such as oversight, data use, exclusivity, fees, indemnities, suspension, and exit responsibilities. Specialist banking counsel handles product-specific regulatory requirements and lending structures.

Do you handle banking licenses or true-lender opinions?

No. Licensing, bank chartering, true-lender and interest-rate opinions, BSA/AML advice, and regulatory examinations or enforcement require specialist counsel. CounselX can coordinate the related contracts.

What does partner diligence preparation involve?

Organizing ownership records, IP documents, key agreements, and privacy and security commitments so you can answer a partner’s questions consistently. It is not an audit, security test, or compliance certification.

Why spend time on suspension and exit terms?

Losing a partner can interrupt service and access to data. The agreement should cover notice where appropriate, customer responsibilities, transition help, and existing business, subject to regulatory requirements.

Do you work with healthtech and edtech businesses?

Yes, on commercial and technology agreements. Healthcare, children’s data, education, and local-law questions may need separately engaged specialists. The advice depends on what the product does and the information it uses.
